Terms & Conditions

Kirsty Robinson | Digital Creative Studio

Last updated: 9 October 2026

1. Introduction

These Terms & Conditions govern the provision of services by Kirsty Robinson, trading as Kirsty Robinson Digital Creative Studio (“we”, “us”, “our”), to clients (“you”, “the Client”).

Our services include website design and development, website hosting and maintenance, branding, graphic design, photography, video production, content creation, digital marketing, social media management, creative consultancy and related services.

These terms apply to services agreed through an accepted proposal, quotation, service agreement or other written confirmation.

Where project-specific terms are agreed in writing, those terms take precedence over these general terms in the event of a conflict.

These terms are primarily intended for business clients. Additional statutory protections apply where the Client is a consumer.

2. Proposals & Scope of Work

All services will be delivered in accordance with the agreed proposal or service agreement.

Proposals will outline the relevant deliverables, pricing, timescales and scope of work.

Any additional work, revisions, functionality, filming, design changes or services outside the agreed scope will be quoted separately and must be approved in writing before work begins.

We reserve the right to decline requests outside the agreed scope.

3. Project Payments

Each project phase must be paid in full upfront before work on that phase commences.

Each phase will be invoiced separately in accordance with the agreed proposal.

Work on subsequent phases will not begin until the relevant payment has been received.

Payment for one phase does not include work allocated to another phase unless expressly agreed.

Invoices are payable by the due date stated on the invoice. We reserve the right to suspend work where payments remain outstanding, following written notice.

All prices exclude VAT unless otherwise stated. VAT will be charged where legally applicable.

4. Project Cancellation & Refunds

All project phases are payable in full upfront before work commences.

Once payment has been received for a project phase, that payment is non-refundable if the Client cancels the project, changes their mind or decides not to proceed.

Payments for completed or commenced phases cannot be transferred to other services or projects without our written agreement.

If the Client cancels the project, no further phases will commence, and no payment will be required for phases that have not yet been invoiced or started.

Nothing in this clause excludes or restricts statutory rights that cannot legally be excluded.

5. Ongoing Marketing & Creative Services

Ongoing marketing, social media management, content production and creative retainers are subject to an initial minimum commitment of six months, unless otherwise agreed in writing.

The agreement begins on the service commencement date specified in the accepted proposal or service agreement.

Monthly fees are payable in advance.

Renewal & Termination

The agreement will be reviewed towards the end of the initial six-month period.

Unless otherwise agreed in writing, the agreement will automatically continue on a rolling monthly basis following the initial term.

After the initial term, either party may terminate the agreement by providing two calendar months’ written notice.

Services and agreed monthly fees will continue throughout the notice period.

Early Termination

Where the Client wishes to terminate during the initial six-month commitment, written notice must be provided.

An early termination settlement may be payable, calculated by reference to:

  • Services already delivered or undertaken.
  • Reasonable preparation and resource commitments made specifically for the agreement.
  • Authorised, non-cancellable third-party costs.
  • Reasonable losses directly resulting from early termination, taking account of costs saved, resources that can reasonably be redeployed and amounts recoverable from third parties.

The settlement will not automatically equal the full remaining contract value and will not include duplicated charges or avoidable costs.

We will take reasonable steps to minimise losses arising from early termination.

Either party may terminate the agreement where the other commits a material breach that remains unresolved 14 days after written notice requiring it to be remedied.

Nothing in this section limits any statutory rights that cannot lawfully be excluded.

6. Software, Subscriptions & Third-Party Costs

Delivery of our services may require specialist software, subscriptions, digital platforms, licences, hosting services, production equipment or external suppliers.

We may use professional tools and subscriptions as part of our normal business operations. These remain our property and responsibility unless otherwise agreed.

Where a project requires additional client-specific expenditure, the costs will be agreed in writing before any commitment is made.

Where the Client has approved a non-cancellable subscription, licence or third-party commitment specifically required for their project, the Client remains responsible for the agreed outstanding cost if the agreement ends early.

We will take reasonable steps to reduce or recover such costs where possible.

General business software and subscriptions that remain available for use with other clients will not automatically be charged to the Client following termination.

Third-party services remain subject to their respective providers’ terms and conditions.

7. Project Timescales

All project timescales are indicative unless expressly agreed otherwise in writing.

Delivery schedules depend on the agreed scope, timely feedback, approvals, content availability and third-party requirements.

Delays caused by circumstances outside our reasonable control may require the project schedule to be revised.

We will communicate material changes to the agreed delivery schedule.

Where a project is delayed by the Client for more than 30 days, we reserve the right to reschedule the remaining work according to availability.

8. Client Responsibilities

The Client agrees to provide:

  • Accurate information and project requirements.
  • Necessary content, images and brand materials.
  • Timely feedback and approvals.
  • Access to relevant systems and accounts.
  • Appropriate permissions for supplied materials.
  • A designated contact responsible for project decisions.

The Client is responsible for reviewing and approving content before publication or launch.

We are not responsible for inaccuracies in information supplied or approved by the Client, except where caused by our own failure to exercise reasonable care and skill.

Delays in receiving necessary materials or approvals may affect delivery timescales.

9. Revisions & Additional Work

The number of revisions included in a project will be specified in the proposal.

Additional revisions, substantial changes in direction or new requirements outside the agreed scope may incur additional charges.

Such work will be quoted and agreed before proceeding.

Where a project requires extensive changes following written approval of a completed stage, those changes may be treated as additional work.

10. Photography, Filming & Content Production

Photography and video production services will be delivered in accordance with the agreed project scope.

Location visits, filming schedules and interviews are subject to access, availability, permissions and cooperation from participating organisations.

The Client will assist in obtaining necessary location permissions and approvals.

Where filming involves schools, children or vulnerable individuals, appropriate safeguarding arrangements, permissions and data protection responsibilities must be agreed before production.

We reserve the right to postpone filming where necessary permissions or safe working arrangements are not in place.

Where filming cannot proceed due to circumstances outside our reasonable control, we will work with the Client to arrange an alternative date or agree suitable alternative content.

Additional filming days, travel, accommodation, specialist equipment or external production services outside the agreed scope will be quoted separately.

11. Social Media & Digital Marketing

Marketing and social media services will be delivered according to the agreed strategy and scope.

Services may include content planning, design, photography, video editing, copywriting, scheduling, publishing and campaign management.

Content formats and publishing schedules may evolve in response to available material, project opportunities and marketing priorities.

Material changes to the agreed service commitment will require written agreement.

We do not guarantee specific levels of engagement, website traffic, enquiries, sales or commercial results.

Performance may be influenced by market conditions, third-party platforms, advertising budgets and factors outside our control.

12. Website Design & Development

Website design and development will be delivered according to the agreed proposal.

The Client is responsible for reviewing and approving the website before launch.

Following launch, additional functionality, new design requirements or changes outside the original scope may incur additional charges.

Third-party plugins, integrations and platforms may require ongoing licences or subscriptions.

We cannot guarantee uninterrupted availability or continued compatibility of third-party services.

Any applicable post-launch support or defect correction period will be specified in the proposal.

13. Website Hosting & Maintenance

Where website hosting, maintenance or ongoing technical support is provided, the service will operate under an initial 12-month agreement, unless otherwise stated in writing.

Following the initial term, the service will continue on a rolling monthly basis, terminable by either party with 30 days’ written notice.

Hosting and maintenance fees are payable in advance.

Services may include hosting, software updates, backups, monitoring and technical support, depending on the agreed package.

Additional development, design changes or functionality outside the package will be quoted separately.

We reserve the right to suspend services for overdue payments following reasonable written notice.

Where hosting ends, the Client may request an agreed handover or migration of their website and associated materials.

Migration and additional technical assistance may incur separate charges.

Client-owned data will not be deliberately deleted solely because of a payment dispute without appropriate notice and consideration of applicable legal obligations.

14. Intellectual Property & Ownership

Client-Owned Deliverables

Upon receipt of full payment for the relevant project or phase, ownership of the intellectual property rights in the agreed final deliverables created specifically for the Client will transfer to the Client, to the extent that those rights are owned by us and are capable of assignment.

This may include:

  • Final approved brand identities and graphic designs.
  • Bespoke website designs and original website content.
  • Final edited photography and video.
  • Agreed marketing and campaign assets.
  • Other final creative deliverables expressly included in the proposal.

The transfer applies only to completed deliverables identified within the agreed scope.

To the extent that copyright is owned by us and is capable of assignment, this clause constitutes a written assignment of that copyright upon receipt of the relevant full payment.

Kirsty Robinson’s Intellectual Property

We retain ownership of all pre-existing and independently developed intellectual property, including:

  • Design systems, templates and reusable components.
  • Proprietary code, frameworks and development tools.
  • Internal processes, methods and workflows.
  • Unused concepts and design proposals.
  • Original working files and production files.
  • General creative assets not commissioned exclusively for the Client.

Where these materials are incorporated into completed deliverables, the Client receives a perpetual, non-exclusive, royalty-free licence to use them as part of the agreed final deliverables for their intended business purposes.

This licence does not permit the Client to extract, resell or distribute our proprietary tools or reusable components as standalone products.

Third-Party Materials

Third-party software, plugins, fonts, stock photography, video, music and other licensed materials remain subject to their respective licence agreements.

Ownership of these materials does not transfer to the Client unless expressly permitted by the relevant licence.

The Client is responsible for ongoing licence fees where specified in the proposal or agreed separately.

Source Files & Raw Footage

Editable source files, original project files, raw video footage and unedited photography are not included unless expressly specified in the proposal.

Where requested, these may be supplied under a separate agreement and fee.

Portfolio Use

We may display completed, publicly released work in our professional portfolio, website and marketing materials unless otherwise agreed in writing or restricted by confidentiality, privacy or safeguarding requirements.

15. Website Access & Digital Assets

Where we manage website hosting, technical infrastructure or digital platforms, administrative access may be restricted where reasonably necessary to protect security and service integrity.

Ownership and access rights will depend on the agreed service and relevant third-party platform terms.

Client-owned domains, content and digital assets remain the Client’s property.

Upon termination, we will provide reasonable assistance with the transfer of Client-owned assets, subject to payment of outstanding undisputed fees and any agreed handover charges.

We will not unreasonably withhold Client-owned assets or data.

16. Confidentiality

Both parties agree to keep confidential information obtained through the working relationship secure and confidential.

Confidential information will not be disclosed to third parties without permission, except where necessary to deliver the agreed services, where the recipient is subject to appropriate confidentiality obligations, or where disclosure is required by law.

These obligations continue following termination of the agreement.

17. Data Protection

Both parties agree to comply with applicable UK data protection legislation, including the UK GDPR and Data Protection Act 2018.

Where we process personal data on behalf of the Client, the parties will enter into an appropriate Data Processing Agreement where legally required.

The Client remains responsible for its own privacy notices, lawful bases for processing and other obligations as a data controller where applicable.

Responsibilities relating to photography, filming, interviews and the processing of personal data will be agreed according to the nature of the project.

18. Liability

We will provide all services with reasonable care and skill.

We will not be responsible for losses caused by inaccurate information supplied by the Client, unauthorised alterations to completed work, or circumstances outside our reasonable control, except to the extent that our own breach of duty contributed to those losses.

For business clients, and subject to applicable law and the requirement of reasonableness, our total aggregate liability arising from an agreement will be limited to the total fees paid or payable under that agreement during the preceding 12 months, or the total agreed contract value where the agreement has operated for less than 12 months.

To the extent permitted by law, neither party will be liable for indirect or consequential losses.

Any exclusion of loss of profits, revenue or business opportunities applies only to the extent permitted by law and where reasonable in the circumstances.

Nothing in these terms excludes or limits liability for:

  • Death or personal injury caused by negligence.
  • Fraud or fraudulent misrepresentation.
  • Any liability that cannot legally be excluded or restricted.
  • Statutory consumer rights where applicable.

Any limitation of liability will be interpreted and applied in accordance with applicable UK law.

19. Suspension & Termination

We reserve the right to suspend services following written notice where:

  • Payments remain overdue.
  • The Client materially breaches the agreement.
  • Necessary access, permissions or cooperation are not provided.
  • Continuing the services would create a significant legal, security or safety risk.

Where reasonably possible, the Client will be given an opportunity to resolve the issue before suspension.

Either party may terminate for a material breach that remains unresolved 14 days after written notice requiring it to be remedied.

Termination does not remove responsibility for fees, authorised costs or other obligations accrued before termination.

20. Dispute Resolution

Both parties agree to attempt to resolve disputes through good-faith discussion.

Where a dispute cannot be resolved directly, the parties may agree to mediation before commencing court proceedings.

Nothing prevents either party from seeking urgent legal remedies where necessary.

21. Governing Law

These Terms & Conditions are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction, subject to any mandatory legal protections that apply.

22. Acceptance of Terms

By accepting a proposal, signing a service agreement or otherwise expressly agreeing to engage our services on these terms, the Client confirms acceptance of these Terms & Conditions.

Any agreed amendments must be recorded in writing.

The applicable version of these terms will be the version provided or made available to the Client at the time of agreement, unless subsequent amendments are expressly accepted.

23. Consumer Rights

These Terms & Conditions are primarily intended for business-to-business services.

Where a Client purchases services as an individual acting wholly or mainly outside their trade, business, craft or profession, applicable UK consumer protection legislation will apply.

Nothing in these terms excludes or restricts statutory consumer rights.

Cancellation Rights

Where a consumer enters into a qualifying distance or off-premises contract, they will normally have a statutory right to cancel within 14 days of entering into the agreement, subject to applicable exceptions.

Where a consumer expressly requests that services begin during the statutory cancellation period, they may be required to pay a proportionate amount for services provided before cancellation, where permitted by law and provided the applicable information and consent requirements have been met.

Where services have been fully performed during the cancellation period following the consumer’s express request and the required acknowledgement, the statutory cancellation right may be lost in accordance with applicable legislation.

Separate rules apply to digital content supplied electronically, including requirements concerning express consent and acknowledgement of the loss of cancellation rights.

Consumer Agreements

Where consumer protection legislation applies, any conflicting provision within these Terms & Conditions will be interpreted subject to the consumer’s statutory rights.

Where required, consumers will be provided with appropriate pre-contract information, cancellation instructions and a cancellation form.

Business-to-business minimum commitments and cancellation provisions will not override mandatory consumer protections.
